Dmitriy Misarenko has spent over 15 years working across banking, e-commerce, and international business consulting. He started his career at Raiffeisen Bank, then transitioned into entrepreneurship in 2017, co-founding two Poland-based consulting firms with his brother. They helped clients across Europe launch and scale online retail operations, handling everything from brand development to fulfillment logistics.

Now based in Monaco, Misarenko focuses on broader, high-impact consulting projects with established firms. His work centers on helping business owners and entrepreneurs navigate international relocation and business structuring, particularly in jurisdictions with efficient tax systems.

“For me, success is having control over how you live and work,” Misarenko says. “It’s about building things that actually function without constant stress: businesses, structures, decisions. When everything is set up correctly and gives predictable results, that’s success. Not just one big win, but consistency over time.”

That philosophy has guided his approach to consulting. He doesn’t sell quick fixes. He helps clients build frameworks that hold up under pressure.

The Problem Most Entrepreneurs Ignore

Most business owners don’t think about structure until something breaks. They register a company in the easiest jurisdiction. They open the first bank account that approves them. They hire the cheapest accountant. Then, when they try to scale, relocate, or operate across borders, they hit walls.

“Most challenges came from working across different countries: different rules, banks, systems that don’t always align,” Misarenko explains. “At some point you realise you can’t fight it directly. You have to adapt and build around it. That meant restructuring things, changing setups, sometimes starting over. Over time, those ‘issues’ became part of the way I think and operate.”

He learned this the hard way. Early in his entrepreneurial journey, Misarenko relied too heavily on one setup. It stopped working efficiently, slowed things down, and created unnecessary pressure. Instead of patching it together, he rebuilt everything: new structure, new approach.

“Looking back, that moment forced me to think bigger and build something much more solid,” he says.

Clarity and Discipline Over Complexity

When Misarenko works with clients, he starts with two things: clarity and discipline. Clarity means understanding the bigger picture. Discipline means paying attention to the details, especially in legal and financial matters.

“I’d say a mix of clarity and discipline,” he says. “You need to see the bigger picture, but also pay attention to details, especially in legal and financial matters. And you have to stay flexible, because things change fast. But if there’s one thing, it’s consistency. A lot of people start strong, very few stay structured long-term.”

His consulting practice now includes services across e-commerce strategy, brand development, operational scaling, and international relocation. He helps clients identify jurisdictions with efficient and comfortable tax systems, then supports them through the practical aspects: legal documentation, infrastructure, international schools, security, quality communities, speed of obtaining residency documents, and both internal and external stability considerations.

His role is practical consulting combined with access to a network of trusted partners and service providers across different jurisdictions.

Misarenko’s approach to business structuring follows a clear sequence. Here’s the five-phase framework you can apply to your own situation:

Phase 1: Audit Your Current Setup List every entity, bank account, service provider, and legal agreement you have. Identify where friction exists. Where do things slow down? Where are you exposed to unnecessary risk? Write it all down.

Phase 2: Define Your Operational Goals Where do you want to do business? Who are your clients? What jurisdictions matter? What does success look like in three years? This clarity shapes every decision that follows.

Phase 3: Map Out the Right Jurisdictions Research tax-efficient jurisdictions that align with your goals. Consider residency, banking infrastructure, legal stability, and quality of life. Don’t just follow trends. Match the jurisdiction to your specific needs.

Phase 4: Rebuild With the Right Partners Work with legal, accounting, and banking professionals who understand cross-border operations. Don’t cut corners here. The right team saves you time, money, and stress down the road.

Phase 5: Test, Monitor, and Adjust Launch the new structure. Track performance. Stay connected to regulatory changes. Markets shift. Rules change. Your structure should be flexible enough to adapt without breaking.

“I keep it simple,” Misarenko says. “There are long-term goals, where I want to be, how things should be structured. And short-term: what needs to get done now. If something doesn’t lead to a clear result, I rethink it. No need to overcomplicate, clarity saves time.”

Start small. Here are five actions you can take right now:

  • Open a spreadsheet and list every legal entity, bank account, and service provider you use. Identify redundancies.

  • Research three jurisdictions that align with your business goals. Compare tax rates, residency requirements, and banking access.

  • Review your contracts with fulfillment partners, payment processors, and vendors. Flag anything that limits your growth.

  • Set up a monthly calendar reminder to review regulatory changes in the jurisdictions where you operate.

Watch for these warning signs:

  • Your bank freezes or questions transactions regularly.

  • You can’t scale into new markets without major friction.

  • Your accountant can’t explain your tax situation clearly.

  • You’re constantly firefighting instead of building.

  • Simple changes to your business require restructuring everything.

“When something goes wrong, I focus on facts, what’s happening, why, and what can be done next,” Misarenko says. “Breaking things down removes a lot of pressure. You just keep moving. Waiting for the ‘right feeling’ usually doesn’t work.”
